ECONOMIC DEVELOPMENT Request for
Qualifications
Below are some of the general
specifications of a city request for bids to operate this space at
Lake Huntington in Central Park West.
The city of Huntington Beach is soliciting
proposals from experienced and qualified individuals or companies
that would be interested in furnishing food and beverages to operate
a café/bistro at a city-owned facility, which is situated by the
shore of Huntington Lake in Central Park, known as Alice's Breakfast
in the Park.
It is the city's objective that the
café/bistro will provide a contemporary setting where affordable,
quality, fresh foods and specialty beverages are served. Ideally,
the café/bistro will provide a friendly welcoming environment for
the residents and community to gather for breakfast, lunch, and
ultimately twilight dining.
1. BACKGROUND
Huntington Beach is a charter city, administered by a
Council/Administrator
form of government, encompassing an area of 28 square miles with a
population of 196,700. The total annual City budget is approximately
$330
million for Fiscal Year 2007/08, with the General Fund portion of
the budget
totaling approximately $188 million.

situated by the shore of Huntington Lake in Central Park. It is the
City's
objective that the café/bistro will provide a contemporary setting
where
affordable, quality fresh foods, and speciality beverages are
served. Ideally,
the café/bistro will provide a friendly welcoming environment for
the
residents and community to gather for breakfast, lunch and
ultimately
twilight dining. The current facility has a long standing use as a
café and is
comprised of approximately 2,500 square feet which includes full
kitchen,
restroom, and dining area. Outdoor seating is also provided with
views of
the lakefront. This facility is located on the west side of
Huntington Central Park which is
the City's largest park with over 350 acres. This park provides a
quiet
retreat from city life amidst the trees, expansive lawns, placid
lakes and
variety of bird life. Visitors and residents enjoy a myriad of
activities
including fishing, walking, birdwatching, picnicking, playgrounds
and dog
walking along six miles of paved trails and several additional miles
of dirt
paths. Central Park is a major center of activity for the community.
2. SCOPE OF WORK
The scope of services required will be set forth in the agreement
between
the City and the operator. The scope of work will generally consist
of:
• Improving/rehabilitating the café/bistro and providing necessary
equipment and supplies to outfit the area.
• Improve restrooms to be in compliance with ADA requirements.
• Providing a food and beverage menu along with method of business
operations. (Respondents are required to suggest food and beverage
selections they are able to offer and that they believe would
enhance
the café/bistro operations). Healthy food options are also
encouraged.
• Pricing goods competitively.
• Opening the café/bistro during hours mutually agreed upon between
the City and the operator.
• Providing signage for the café/bistro operation. All signage would
need to be approved by the City’s planning department.
• Operating the facility according to the terms of the City's
standardized
concession agreement. Rent will be based on a combination of a
based fee and a percentage of gross receipts.
• Complying with the City's existing exclusivity agreement with
Coca-
Cola or similar exclusivity agreements entered into by the City. The
proposed operator must also adhere to the City's ordinance
prohibiting
the use of Styrofoam products at City-owned facilities. The City
also
recommends the utilization of green building products whenever
possible.
3. CAPITAL IMPROVEMENT STATUS
The selected operator will be required to complete all tenant
improvements.
The City may allow the operator a credit with terms to be negotiated
to
offset a portion of the costs of any tenant improvement.
Additionally, this
facility has been underutilized and not well maintained over the
last several
years. A significant renovation is necessary to the facility and
operators are
encouraged to state specific improvement ideas and plans in this RFQ.
The selected operator would be responsible for the maintenance and
rehabilitation of the current City facility which would include, but
not be
limited to, treating and painting of interior and exterior walls,
termite
treatments, etc. The City is amenable to allowing gas at the site.
Building size is limited to the existing footprint. Any additions to
the current
building would require a vote of the public, pursuant to Charter
Section 612,
commonly referred to as Measure C.
4. CAFÉ/BISTRO OPERATIONS
Café/bistro operations are a key component to the overall character
of the
City’s Central Park. The selected operator will be required to
satisfy the
following conditions as a part of the concession operations:
Personnel
The operator shall be responsible for hiring the necessary personnel
to
conduct the daily operation of the concession. The operator will
comply with
all Federal, State, and local laws related to minimum wage, social
security,
nondiscrimination, ADA, unemployment compensation, and workers’
compensation.
Operating Hours
The City may allow operating hours which range from 7 a.m. to 10
p.m.
seven days a week, as mutually agreed upon between the City and
proposed
operator.
Alcoholic Beverages
The City may permit the serving of beer/wine only in support of and
subordinate to the operation of a restaurant. Serving alcoholic
beverages in
any capacity will be subject to City Council approval and the lessee
obtaining
appropriate permits from the Alcoholic Beverage Control.
Customer Service Standards
The purpose of Customer Service Standards is to provide service
which is
accessible, courteous, responsive, timely, equitable and given in
the spirit of
professionalism and mutual respect. An operator is an extension of
the City
of Huntington Beach and as such is expected to:
• Interact with customer and city officials, whether in person or on
the
phone, in a pleasant, respectful and professional manner.
• Give full attention to each customer’s needs by asking questions.
• Provide information, products and service in an accurate,
organized
and complete manner.
• Determine that the customer’s request has been fulfilled.
• Comply with all Federal, State, County and City laws and
regulations.
• Use adequate equipment, which is kept as clean and neat as
possible
and to train other contractor employees to be polite and courteous
during public contact.
• Employ truth and accuracy in advertising and soliciting and to
honor
any commitments made in the course of business.
Menu Items
The concessionaire is expected to serve affordable, quality fresh
foods, and
specialty beverages to meet the needs of the visiting public. All
menu items
must be approved by the City. Beer and wine sales may be permitted
only
upon City Council approval. The operator will be required to comply
with the
City’s existing exclusive license agreement with Coca-Cola or future
similar
license agreements. The concessionaire must also adhere to the
City’s
ordinance prohibiting the use of Styrofoam products at City owned
facilities.
5. QUALIFICATIONS
To ensure a high-quality level of operation for the facility, the
proposed
operators must demonstrate minimum experience and qualifications.

Applicants must complete the City’s vendor application form
(Attachment
2) and provide evidence of the following:
• Experience in successfully operating and managing a similar type
of
business for a minimum of three years.
• Fiscal solvency and capacity to complete necessary tenant
improvements. The City is concerned about bidders’ financial
capability to perform, and therefore, may ask you to provide
sufficient
data to allow for an evaluation of your firm/company’s financial
capabilities.
• Demonstrated track record of being an equal opportunity employer.
• Must not be currently indebted to the Federal government, State of
California, or the City of Huntington Beach for non-payment of
taxes,
fines, judgments, liens, or fees.
6. RFQ TERMS AND CONDITIONS
A. This RFQ does not commit the City of Huntington Beach to award
a contract. No other party, including any proposer, is intended to
be granted
any rights hereunder. Proposals which, in the sole discretion of the
city, do
not meet the minimum requirements, including without limitation the
minimum proposal submission requirements, will not be reviewed. This
RFQ
and the process it describes are proprietary to the City and are for
the sole
and exclusive benefit of the City. Any response, including written
documents
and verbal communication by any proposer to this RFQ, will become
the
property of the City and if required by law may be subject to public
disclosure by the City or any authorized agent of the City. The City
is not
liable for any costs associated with the development, preparation,
transmittal or presentation of any proposal or material(s) submitted
in
response to this RFQ. All proposals submitted become the property of
the
City.
It shall be the operator’s responsibility to review and verify the
completeness
of its proposal. The City may request additional or clarifying
information or
more detailed information from any proposer at any time, including
information inadvertently omitted by a proposer. The City may
request to
inspect properties or contact clients referenced in the operator’s
proposal.
The City also reserves the right to conduct investigations with
respect to the
qualifications of a proposer.

B. City employees and officials are prohibited from responding to
this RFQ or being a party, direct or indirect, to any contract
resulting from
the RFQ, and no proposal shall be accepted from, or contract awarded
to,
any City employee or official who submits a proposal or solicits any
contract
in which he or she may have any direct or indirect interest. No
proposer may
be a proposer to more than one proposal submitted pursuant to this
RFQ.
Entities that are legally related to each other or to a common
entity may not
submit separate proposals. Any proposal may be rejected that, in the
City’s
sole judgment, violates these conditions or the spirit of these
conditions.
C. The City reserves the right to amend this RFQ prior to the
proposal due date. All amendments and additional information will be
posted to the Huntington Beach Procurement Registry, Huntington
Beach -
Official City Web Site - Business - Bids & RFP's; bidders should
check this
web page daily for new information.
D. The City reserves and may exercise the following rights and
options with respect to evaluation of proposals and selection for
negotiation:
i. To reject any and all proposals and re-issue the RFQ at any
time prior to execution of a final contract if, in the City’s
sole discretion, it is in the City’s best interest to do so;
ii. To supplement, amend, substitute or otherwise modify this
RFQ at any time prior to selection of one or more
respondents for negotiation and to cancel this RFQ with or
without issuing another RFQ;
iii. To accept or reject any or all of the items in any proposal
and award the contract in whole or in part if it is deemed
in the City’s best interest to do so;
iv. To reject the proposal of a proposer that, in the City’s sole
judgment, has been delinquent or unfaithful in the
performance of any contract with the city or another
government entity, is financially or technically incapable or
is otherwise not a responsible proposer;
v. To reject as informal or non-responsive any proposal
which, in the City’s sole judgment, is incomplete, is not in
conformity with applicable law, is conditioned in any way,
deviates from this RFQ or contains erasures, ambiguities,
alterations, or items of work not called for by this RFQ;

vi. To waive any informality, defect, non-responsiveness
and/or deviation from this RFQ that is not, in the City’s
sole judgment, material to the proposal;
vii. To permit or reject, at the City’s sole discretion,
amendments (including information inadvertently omitted),
modifications, alterations and/or corrections of proposals
by some or all of the respondents following proposal
submission;
viii. To request that some or all of the interested operators
modify proposals based upon the evaluation of the City.
E. The City may enter into negotiations for a contract, on terms and
conditions satisfactory to the City with one or more selected
proposer(s).
However, the City reserves the right to terminate any negotiations
at any
time or conduct simultaneous, competitive negotiations with multiple
proposed operators. The City reserves the right to negotiate
acceptable
terms in an otherwise unacceptable proposal. Such negotiations may
result
in changes in terms material to this RFQ; in such an event, the City
shall not
be obligated to inform other proposed operators of the changes, or
permit
them to revise their proposals accordingly, unless the City, in its
sole
discretion, determines that doing so and permitting such is in the
City’s best
interest. Should negotiations not prove satisfactory with the
selected
proposer(s), the City reserves the right to discontinue
negotiations.
Additional firms may be asked to enter into negotiations, and/or the
City
may solicit new proposals.
7. PROPOSAL INSTRUCTIONS
Submission Date and Requirements
One original and five unbound copies of completed proposals must be
submitted to:

The following conditions apply to this submission:
• Proposals must be submitted no later than 4:00 PM P.S.T., on
September 9, 2008
• Proposals must be signed, in ink, by an individual duly authorized
to
bind the Proposer and must be sealed and labeled on the cover with
the RFQ title and Operator’s name.
• Proposals must be 1 1/2 spaced (or double-spaced) and in a font
size
of 12 or larger. Proposals typed single-spaced or in a font size
smaller than 12 will not be accepted.
• Proposals or proposal components will not be accepted via
facsimile
(fax) transmission.
• Proposals shall remain binding for 120 days from the date of
proposal
submission.
• The City reserves the right, at its sole discretion, to reject and
return,
without evaluation, any proposal received after the proposal
submission time and date, whether it is delivered by mail or
otherwise.
8. REQUIRED ELEMENTS OF PROPOSALS
Respondents may submit any information they deem necessary and
appropriate for the city to fully and completely evaluate their
qualifications.
The proposal must, at a minimum, include the following general
information:
1. Vendor Application (Use form listed as Attachment 2)
2. Checklist for a complete submission (Use form listed as
Attachment
4)
3. Description of the operator’s business structure, key staff and
their
qualifications.
4. Description of the operator’s relative experience in operating a
concession or other similar business enterprise, including relative
size
of business operated type of retail sales, etc.
5. An audited financial statement (or a financial statement prepared
by a
certified public accountant) from the last full year of operation of
a

similar business enterprise. If you wish for this financial
information to
be kept out of the public record, please submit ONE COPY in a
separate envelope, with the words ‘FINANCIAL INFORMATION’ along
with your name on the envelope. This information will be held apart
from the proposal and will be returned upon completion of the
selection process.
6. At least three persons or businesses that have first hand
knowledge of
the operator’s ability to successfully operate and maintain a
highquality
café bistro. If possible, at least one reference should be a
public entity other than the City of Huntington Beach.
9. ADDITIONAL REQUIREMENTS
Selection Process
All applicants may be asked to participate in an interview process.
During
this process applicants will be asked to discuss the following:
1. A proposed annual budget for the operation of the park
café/concession for the first five years.
2. Monthly rent for use of city concession facility and/or profit
sharing
with city.
3. Description of the anticipated expenses, revenues, and net income
4. A sample menu, including proposed prices, together with possible
merchandise that may be available for rent and/or sale.
5. Anticipated capital improvements and building concept.
Insurance
All applicants who are awarded City contracts are bound by all of
the
stipulations of their contracts upon execution of the contract
including, but
not limited to, General Liability, Worker’s Compensation and
Employers’
Liability, Automobile Liability, Crime or Fidelity, and Professional
Liability
Insurance. (See Attachment 3)
All proposed operators (along with any potential contractors) are
encouraged
to contact their insurance carriers during the review of
qualifications stage to
ensure that the insurance requirements can be met if the operator is
selected for negotiation of a contract.

Codes and Licensing
The concession operator must comply with Orange County Public Health
Codes regulating food establishments, and the concession must meet
applicable City Codes for Plumbing, Building, Electrical, and Fire.
Insurance Requirements/Encroachment Permit Applicants and
Contractual Services
Please forward these requirements to your insurance agent
City of Huntington Beach Resolution 2007-3 requires that licensees,
lessees and vendors have an
approved Certificate of Insurance on file with the City of
Huntington Beach for the issuance of any permit
or city contract.
The insurance certificate must be approved by the City Attorney’s
Office as to meeting all of the city’s
insurance requirements. An original certificate is required or a PDF
version attached to an email may be
forwarded. If the insurance certificate is faxed, it must come
directly from the insurance provider to the
City of Huntington Beach. All insurance must be from a California
admitted carrier with a current A.M.
Best’s Rating of no less than A:VII
General Liability (G/L) – The general liability requirement is
for $1,000,000 with “per occurrence”
type claims coverage and a separate “Additional Insured Endorsement”
page listing both the
policy number and naming the “City of Huntington Beach, its
officers, elected or appointed
officials, employees, agents and volunteers” as additional insured
on the endorsement. The City
of Huntington Beach has a zero deductible/SIR requirement. (see
below for Additional Insured
requirements)
Description of work – The staff contact and purpose of the
evidence of coverage must be
identified.
Automotive Insurance – Automobile insurance requirement is for
$1,000,000 and a separate
“Additional Insured Endorsement” page listing both the policy number
and naming the “City of
Huntington Beach, its officers, elected or appointed officials,
employees, agents and volunteers”
as additional insured on the endorsement. The City of Huntington
Beach has a zero
deductible/SIR requirement.
Worker’s Compensation Insurance (W/C) – The Worker’s Compensation
insurance
requirement is the State statutory limits of $250,000 bodily injury
by disease, policy limit, and
$100,000 bodily injury each employee for accident or disease per
occurrence. Certificate holder
listed on the certificate is:
City of Huntington Beach, 2000 Main St., Huntington Beach, CA 92648.
If your organization/company has no compensated employees working on
the project, you may
complete and return a “Non-Employer Status” form to be used in lieu
of a W/C insurance
certificate.
Cancellation Clause Notice – The cancellation clause must contain
a thirty (30) day notice. A
ten(10) day notice for non-payment of premium is acceptable in
combination with 30 day notice.
Waiver Procedure – If unable to comply with a requirement, the
“INSURED” may request a
waiver of a specific requirement. The Insurance Waiver form is an
internal form that the City of
Huntington Beach will complete. (see following page for waiver form)
The exception to the
waiver is the G/L & Auto “Additional Insured Endorsement” page.
Additional Insured Endorsement Requirements – The City, its
officers, elected or appointed
officials, employees, agents and volunteers are to be covered as
additional insureds by separate
attached endorsement(s) as respects liability arising out of action
performed by or on behalf of
the contractor, products and completed operations of the contractor,
premises owned, occupied
or used by the contractor, or automobiles owned, leased or borrowed
by the contractor. The
coverage shall contain no special limitations on the scope of
protection afforded to the City, its
agents, officers and employees
To request a waiver, indicate here and provide a brief description
(1 – 2 sentences) of the
proposed work/project, its dollar value (if not a specific dollar
amount, use an average, annual
estimate or non-profit) and projected timeframe (per job or
as-needed basis).
For substantial dollar deductible/SIR amounts, a financial statement
is required.

Private Property Work Permit Requirements – If the planned work
does not involve public
property or its right-of-way (e.g. sidewalk/street), the Workers’
Compensation Certificate is the
only insurance requirement. However, if the work site is adjacent or
attached to public property,
the City Attorney’s Office must be informed for consideration of
liability and decides whether or
not to approve the certificate with a specific “Private Property
Only” approval stamp.
INSURANCE REQUIREMENTS VARY FOR DIFFERENT APPLICANTS AS FOLLOWS:
1. CONTRACTORS – Any persons or entities or Contract with the City
and/or provide service to the City
which are readily available and efficiently procured by competitive
bidding.
Requirements: General Liability, Workers’ Compensation, Auto
Liability, Additional Insured Endorsements
2. DESIGN PROFESSIONALS- Professional Service contractors who
contract with the City and/or
provide architectural and/or engineering services to the City.
Requirements: Errors and Emissions (Professional Liability)
$1,000,000 coverage
3. LICENSEES/LESSEES – any person or entities who make contract with
the city for the use of public
property.
Requirements: General Liability, Workers’ Compensation, Property
Insurance, Additional Insured Endorsement
4. PERMITEES – any persons or entities who make application to the
City for any use of encroachment upon any street, waterway, pier, or
City property.
Requirements: General Liability, Workers’ Compensation, Auto
Liability, Additional Insured Endorsements
5. PROFESSIONAL SERVICES – means those services, which involve the
exercise of professional discretion and independent judgment on an
advanced or specialized knowledge, expertise or training gained by
formal studies or experience or services which are not readily or
efficiently procured by competitive bidding pursuant to Huntington
Beach Municipal Code Section 3.02. Such Services shall include but
not be limited to those services provided by appraisers, architects,
attorneys, engineers, instructors, insurance advisors, physicians
and other specialized consultants.
